Welcome to LookSei, a digital platform operated by LookSei, Inc. ("Company," "we," "our," or "us"). These Terms of Service ("Terms") govern your use of our website, mobile application, and related services (collectively, the "Service") that connect customers seeking professional drone services with certified drone pilots.
By accessing or using our Service, you agree to be bound by these Terms and our Privacy Policy, incorporated herein by reference. If you disagree with any part of these Terms, then you may not access the Service.
These Terms apply to all visitors, users, customers, drone pilots, and others who access or use the Service. You must be at least 18 years old and have the legal capacity to enter into contracts to use our Service.
2. Description of Service
2.1 Platform Overview
LookSei operates a marketplace platform that facilitates connections between:
- Customers: Individuals or businesses seeking professional drone photography, videography, surveying, mapping, inspection, or other aerial services
- Pilots: Licensed drone operators who provide professional aerial services through our platform
2.2 Service Offerings
Our platform facilitates the following types of drone services:
- Real estate photography and videography
- Construction progress monitoring and documentation
- Event coverage and media production
- Agricultural monitoring and crop analysis
- Infrastructure inspection and surveys
- Mapping, photogrammetry, and 3D modeling
- Emergency response and search operations
- Custom aerial projects as requested by customers
2.3 Platform Role
LookSei acts as an intermediary platform and does not directly provide drone services. We facilitate connections, process payments, and provide tools for communication and project management. The actual drone services are performed by independent pilots who are not employees of LookSei.
3. User Accounts and Registration
3.1 Account Creation
To use our Service, you must create an account and provide accurate, complete, and current information. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Immediately notifying us of any unauthorized access to your account
- Keeping your account information accurate and up-to-date
3.2 Customer Registration
Customers must provide:
- Valid contact information (name, email, phone number)
- Billing information for payment processing
- Project details and requirements
- Any specific credentials required for certain types of projects
3.3 Pilot Registration
Drone pilots must provide:
- Valid FAA Part 107 Remote Pilot Certificate
- Proof of liability insurance (minimum $1 million coverage recommended)
- Equipment specifications and capabilities
- Portfolio samples demonstrating experience and quality
- Service areas and availability
- Business license (if operating as a business entity)
- Background check clearance (for certain types of projects)
3.4 Account Verification
We reserve the right to verify all information provided during registration. Pilots must pass our verification process before being activated on the platform. This includes credential verification, background checks, and portfolio review.
4. User Responsibilities and Conduct
4.1 General Conduct
All users agree to:
- Comply with all applicable laws and regulations
- Provide accurate and truthful information
- Treat other users with respect and professionalism
- Not engage in fraudulent, deceptive, or misleading activities
- Not use the platform for any illegal or unauthorized purposes
- Respect intellectual property rights of others
- Maintain the confidentiality of sensitive project information
4.2 Customer Responsibilities
Customers are responsible for:
- Providing accurate project requirements and specifications
- Obtaining necessary permits and permissions for drone operations
- Ensuring access to project locations is legal and safe
- Communicating any safety hazards or restrictions
- Making timely payments for completed services
- Providing honest and fair reviews of pilot services
- Respecting pilots' intellectual property rights in delivered content
4.3 Pilot Responsibilities
Pilots are responsible for:
- Maintaining valid FAA Part 107 certification and all required licenses
- Ensuring adequate insurance coverage for all operations
- Conducting pre-flight safety checks and risk assessments
- Complying with all FAA regulations and airspace restrictions
- Delivering services according to agreed specifications and timelines
- Maintaining professional equipment in good working condition
- Protecting customer data and project confidentiality
- Providing accurate availability and capability information
- Reporting any incidents or safety concerns immediately
4.4 Prohibited Activities
Users may not:
- Violate any laws, regulations, or third-party rights
- Engage in harassment, discrimination, or abusive behavior
- Circumvent our platform to conduct direct transactions
- Create fake accounts or impersonate others
- Attempt to manipulate reviews or ratings
- Share login credentials with unauthorized persons
- Use automated tools to scrape or collect platform data
- Interfere with the platform's operation or security
- Upload malicious content or viruses
- Engage in price manipulation or anti-competitive practices
5. Service Booking and Project Management
5.1 Project Posting and Matching
The service booking process works as follows:
- Customers post project requirements with detailed specifications
- Our matching algorithm identifies suitable pilots based on location, skills, and availability
- Pilots submit proposals with pricing and timeline estimates
- Customers review proposals and select their preferred pilot
- Both parties confirm the project details and terms
- Payment is processed and held in escrow until project completion
5.2 Project Communication
All project-related communication should occur through our platform's messaging system. This ensures proper documentation, protects both parties, and allows us to provide support when needed. Off-platform communication is discouraged and may void certain protections.
5.3 Project Modifications
Changes to project scope, timeline, or specifications must be agreed upon by both parties and documented through our platform. Additional charges for scope changes must be approved before implementation. Major modifications may require a new project agreement.
5.4 Project Completion and Delivery
Projects are considered complete when:
- The pilot delivers all agreed-upon content and services
- The customer confirms receipt and acceptance of deliverables
- Any revisions or corrections are completed as specified
- Both parties mark the project as complete on the platform
6. Fees, Payments, and Financial Terms
6.1 Platform Fees
LookSei charges the following fees:
- Customer Service Fee: 3-5% of project value, added to the total payment
- Pilot Commission: 8-12% of project value, deducted from pilot earnings
- Payment Processing Fee: 2.9% + $0.30 per transaction (standard payment processor rates)
- Express Matching Fee: $25 for priority project matching (optional)
6.2 Payment Processing
Payment terms include:
- Customer payments are processed upon project confirmation
- Funds are held in escrow until project completion and acceptance
- Pilot payment is released within 24-48 hours of project completion
- Refunds are processed according to our refund policy
- All payments are processed in USD unless otherwise specified
6.3 Pricing and Estimates
Pilots set their own rates and provide project estimates. LookSei does not control pricing but may provide market rate guidance. Final project costs are agreed upon between customers and pilots before work begins.
6.4 Refunds and Disputes
Refund eligibility depends on specific circumstances:
- Full Refund: If pilot cancels or fails to deliver as agreed
- Partial Refund: For incomplete or unsatisfactory work (subject to review)
- No Refund: For completed work that meets agreed specifications
- Weather/Emergency: Handled case-by-case with fair resolution for both parties
6.5 Taxes
Users are responsible for their own tax obligations related to transactions on our platform. Pilots are responsible for reporting income and paying applicable taxes. LookSei may provide tax documentation (such as 1099 forms) as required by law.
7. Safety, Insurance, and Liability
7.1 Safety Requirements
All drone operations must comply with:
- FAA Part 107 regulations and any applicable waivers
- Local, state, and federal laws and regulations
- Airspace restrictions and no-fly zones
- Privacy laws and landowner rights
- Safety protocols and risk management practices
7.2 Insurance Requirements
Pilots must maintain:
- General liability insurance with minimum $1 million coverage
- Aviation or drone-specific insurance coverage
- Equipment insurance for drone and camera gear
- Professional liability insurance (recommended for commercial operations)
7.3 Limitation of Liability
IMPORTANT: LookSei's liability is limited as follows:
- LookSei is not liable for any direct, indirect, incidental, or consequential damages
- Our total liability for any claim is limited to the amount of fees paid to LookSei
- LookSei is not responsible for pilot actions, aircraft operations, or service quality
- Users assume full responsibility for their own actions and decisions
- LookSei does not guarantee pilot availability, weather conditions, or project outcomes
7.4 Indemnification
Users agree to indemnify and hold LookSei harmless from any claims, damages, or expenses arising from:
- Use of our platform or services
- Violation of these Terms or applicable laws
- Infringement of third-party rights
- Drone operations or service delivery
- Content posted or shared on our platform
8. Intellectual Property Rights
8.1 Platform Content
LookSei owns all rights to our platform, including the website, mobile app, logos, trademarks, software, and proprietary algorithms. Users may not copy, modify, or redistribute our platform content without permission.
8.2 User-Generated Content
By posting content on our platform (profiles, reviews, messages), users grant LookSei a non-exclusive, royalty-free license to use, display, and distribute such content for platform operation and marketing purposes.
8.3 Drone Footage and Deliverables
Rights to drone footage and project deliverables are determined as follows:
- Customer Rights: Customers receive specified usage rights as agreed in the project terms
- Pilot Rights: Pilots retain copyright and may use footage for portfolio purposes unless restricted
- Raw Footage: Rights to raw footage must be specifically negotiated
- Commercial Use: Commercial usage rights must be clearly defined in project agreements
- Exclusive Rights: Exclusive rights transfers require specific agreement and may incur additional fees
8.4 Copyright Infringement
LookSei respects intellectual property rights. If you believe content on our platform infringes your copyright, please contact us with a detailed DMCA notice. We will investigate and take appropriate action as required by law.
9. Privacy and Data Protection
9.1 Privacy Policy
Our collection, use, and protection of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our data practices.
9.2 Project Confidentiality
Users may encounter confidential information during projects. Both customers and pilots agree to:
- Maintain confidentiality of sensitive project information
- Not disclose proprietary or confidential information to third parties
- Use project information solely for the intended purposes
- Delete confidential information upon project completion (if requested)
9.3 Data Security
While we implement security measures to protect user data, users are responsible for maintaining the security of their own accounts and any sensitive information they share through our platform.
10. Dispute Resolution
10.1 Internal Resolution Process
For disputes between users, LookSei provides:
- Mediation services through our customer support team
- Review of project communications and documentation
- Fair resolution recommendations based on platform policies
- Escrow protection for payments during dispute resolution
10.2 Arbitration Agreement
BINDING ARBITRATION: Any disputes arising from these Terms or use of our Service shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.
- Arbitration will be conducted in the state where LookSei is headquartered
- The arbitrator's decision will be final and binding
- Class action lawsuits are waived (disputes must be resolved individually)
- Small claims court remains available for qualifying disputes
10.3 Governing Law
These Terms are governed by the laws of the state of Delaware, United States, without regard to conflict of law principles. Any disputes not subject to arbitration will be resolved in the courts of Delaware.
11. Platform Availability and Modifications
11.1 Service Availability
LookSei strives to maintain platform availability but does not guarantee uninterrupted service. We may experience downtime for maintenance, updates, or unforeseen technical issues. We are not liable for any damages resulting from service interruptions.
11.2 Platform Modifications
We reserve the right to modify, update, or discontinue any aspect of our Service at any time. We will provide reasonable notice of significant changes that may affect your use of the platform.
11.3 Account Suspension and Termination
We may suspend or terminate accounts for:
- Violation of these Terms or our policies
- Fraudulent or illegal activities
- Safety violations or regulatory non-compliance
- Abuse of other users or platform staff
- Failure to maintain required certifications or insurance
12. Regulatory Compliance
12.1 FAA Compliance
All drone operations must comply with:
- FAA Part 107 regulations for commercial drone operations
- Aircraft registration requirements
- Remote identification (Remote ID) requirements when applicable
- Airspace authorization and LAANC system compliance
- Special use airspace restrictions
12.2 State and Local Regulations
Users must also comply with state and local laws regarding drone operations, including privacy laws, public safety regulations, and permit requirements. LookSei does not monitor or enforce local regulations - this is the responsibility of individual users.
12.3 International Operations
For operations outside the United States, pilots must comply with the aviation regulations of the relevant country or region. LookSei currently operates primarily within the United States and its territories.
13. Disclaimers and Warranties
13.1 Service Disclaimers
DISCLAIMER: LookSei provides the platform "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied. We disclaim all warranties including:
- Merchantability and fitness for a particular purpose
- Non-infringement of third-party rights
- Accuracy, reliability, or completeness of information
- Uninterrupted or error-free operation
- Quality or performance of pilot services
13.2 Third-Party Services
Our platform may integrate with third-party services (payment processors, mapping services, etc.). We are not responsible for the performance, availability, or terms of these third-party services.
13.3 User Content and Conduct
LookSei does not endorse, control, or guarantee the accuracy of user-generated content, including pilot profiles, customer reviews, or project postings. Users interact with each other at their own risk.
14. Modifications to Terms
We reserve the right to modify these Terms at any time. When we make material changes, we will:
- Notify users via email and platform notifications
- Post the updated Terms on our website
- Update the "Last Updated" date
- Provide at least 30 days' notice for significant changes
Continued use of our Service after changes take effect constitutes acceptance of the updated Terms. If you disagree with changes, you may terminate your account.

16. Severability and Entire Agreement

If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions will continue in full force and effect. The invalid provision will be replaced with a valid provision that most closely matches the intent of the original.
16.2 Entire Agreement
These Terms, together with our Privacy Policy and any additional agreements for specific services, constitute the entire agreement between you and LookSei regarding use of our Service. No other communications or agreements modify these Terms unless made in writing and signed by LookSei.
16.3 Assignment
LookSei may assign these Terms or any rights hereunder without your consent. You may not assign your rights or obligations under these Terms without our prior written consent.
Agreement Acknowledgment
